By purchasing any information (the "information") from this website, you are deemed to have entered into this Agreement with Ovum Ltd and to have agreed to be bound by the conditions set out below.

Confidentiality

You undertake not to print, publicise or disclose to any third party any confidential information without the prior consent of Ovum. This clause shall not apply to information that is or becomes public knowledge otherwise than through a default of the party concerned, or is already in possession of the party concerned, or is legally acquired by such party from a third party.

Warranties and Liability

Ovum warrants that it will supply the information with reasonable skill and care and that any such information shall be free from material defects as of the date upon which it is presented to the client in its final form.

The responsibility for decisions taken on the basis of information given by Ovum will remain with the Client. Ovum shall have no liability for any indirect special or consequential loss, damage, costs, expenses or other claims including (without limitation) those for loss of profit, loss of savings, loss of business or loss of interest which arise in connection with this Agreement whether or not it has been notified of the possibility of such damages etc.

Ovum's entire liability in connection with this Agreement shall not in aggregate exceed £1 million. Nothing in this Agreement shall limit or exclude Ovum's liability for the following:
(i) death or personal injury resulting from its, its employees' or its sub-contractors' negligence;
(ii) compliance with the obligations of section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982.
(iii) any fraudulent misrepresentation on the part of Ovum; or
(iv) any other Liability that cannot be excluded by law.

Except as expressly stated in this Agreement, all warranties and conditions, whether express or implied by statute, common law or otherwise (including but not limited to fitness for purpose) are hereby excluded to the extent permitted by law.

Returns & Refund Policy

Should you have any difficulty finding the specific research you require, we will be happy to advise on your purchase. Refunds are provided only at Ovum's discretion.

Copyright

All information provided by Ovum, in any form, is proprietary to Ovum and is protected by U.K. and foreign laws governing intellectual property.

a. The information is the copyright of Ovum, and is subject to international copyright laws.
b. The Client may use information for the research purposes only of the Client or its employees. The Client may not sell, resell or otherwise make the information available in any manner or on any media to any third party unless it has been granted prior written consent by Ovum. The Client agrees to take all reasonable steps to restrict and control the use of and copying of Ovum's services, at least equivalent to steps taken to safeguard the Client's own proprietary information.

These rights apply to information that is purchased by our clients and information that Ovum may choose to provide at no additional charge.

Force Majeure

Neither party shall be liable for any delay in meeting or for failure to meet its obligations under the Agreement due to any cause outside its reasonable control. If Ovum is prevented from meeting its obligations due to any cause outside its reasonable control it shall notify the Client of the circumstances and the Client shall grant a reasonable extension for the performance of the Agreement.

Legal Construction

This agreement shall be governed by English law.
